Operating in all seven geographical regions of Türkiye, OYAK Cement Concrete Paper has one publicly traded cement company (OYAK Çimento Fabrikaları A.Ş.), one paper-packaging company, and one energy company in Türkiye.
With its clinker production, cement grinding capacity, and market share, OYAK Cement continued to be the largest player in the Turkish cement industry in 2023.
Five publicly traded cement companies ("Adana Çimento," "Bolu Çimento," "Ünye Çimento," "Aslan Çimento," and "Mardin Çimento") of OYAK Cement Concrete Paper Companies were merged under Mardin Çimento Sanayii ve Ticaret A.Ş. on May 15, 2020, to ensure more effective management, establish a strong financial, administrative, and legal structure in the sector, and further strengthen their production and distribution activities. Following the merger, their title was changed to OYAK Çimento Fabrikaları A.Ş.
OYAK Beton Sanayi ve Ticaret A.Ş., a 100% subsidiary of OYAK Çimento Fabrikaları A.Ş., was merged with OYAK Çimento Fabrikaları A.Ş. on December 31, 2020, in a simplified procedure by transferring to OYAK Çimento Fabrikaları A.Ş.
The merger of OYAK Çimento A.Ş. and Denizli Çimento Sanayii T.A.Ş. in a simplified procedure under OYAK Çimento A.Ş. was registered on June 19, 2023. Following the merger, OYAK Çimento A.Ş. continued its operations under the name OYAK Denizli Çimento A.Ş.
In line with the targets in the cement sector, it was decided to merge OYAK Çimento Fabrikaları A.Ş. and OYAK Denizli Çimento A.Ş., which operate in the same sector, under a single roof. Accordingly, the transfer of OYAK Denizli Çimento A.Ş. to OYAK Çimento Fabrikaları was approved by the Capital Markets Board on November 22, 2023. The merger registration procedures were completed on December 28, 2023. OYAK Çimento Fabrikaları A.Ş. is traded on Borsa Istanbul under the code “OYAKC”.
The sale of all shares of Cimpor Portugal Holdings, in which OYAK indirectly holds a 60% stake and in which OYAK Cement Concrete Paper participated in 2019 within the scope of its foreign operations, to TCC and the transfer of 20% of the shares of OYAK Çimento Fabrikaları A.Ş., in which OYAK indirectly holds a 60% stake and 24.19% of which is publicly traded, to TCC were completed on March 6, 2024. With this transfer, OYAK's indirect shareholding in OYAK Çimento Fabrikaları A.Ş. became 30.324%. In accordance with the terms of the share transfer transaction dated 6 March 2024, TCC OYAK Amsterdam Holdings B.V. fulfilled the mandatory share purchase offer obligation between 16 July 2024 and 29 July 2024. Following the related transaction, TCC OYAK Amsterdam Holdings B.V.'s share of the capital of OYAK Çimento Fabrikaları A.Ş. increased from 75.81% to 80.05%. This transaction resulted in OYAK's indirect shareholding rate in OYAK Çimento Fabrikaları A.Ş. becoming 32.02%.
